Deal-Flow Toolkit Needs Analysis

 

The following FAQs and Topics are useful for determining if kloudtrack® is a suitable deal-flow tracking platform for particular opportunities.  These topics and questions are offered merely as a frame-of-reference exercise.  Many additional elements are also useful for more detailed Needs Analysis and should also be considered.

Data/Archive-Related:

  • Is this for a single deal or is there the potential for multiple deals to be “active” at any given time
  • If multiple, how many deals could be active at any given time
  • How much data is expected to be “in play” for any given deal
    • If paper, what is the likely range of # of pages
    • If digital, how large are the files (MBs/GBs)
    • If both, what is the mix
    • What are the file formats for the data that will be archived
      • Word
      • Excel
      • Adobe Acrobat (.PDF)
      • Images  (TIFF, JPG)
      • CAD/CAM
      • Custom types
      • Others
      • Are documents/data currently archived with a detailed indexing schema
      • What is the current data indexing schema/hierarchy
        • Flat tree
        • Multi-tier structure
        • Will documents and data need to be added over time
        • Will one set group of individuals be tasked with adding documents/data or will there be many “sources” of data
        • What is the current verification process for adding or removing access to documents/data
        • Is “version control” a critical factor – if so, what elements
          • Speed vs. Quality – which is more important
          • How important is the need to audit changes and maintain integrity of archive
          • How important is the need to quickly and easily remove access to old versions of data
          • How is collaboration currently handled
          • What are collaboration goals
          • Are anti-collusion features considered important/necessary

 

Workflow/Business Process-Related:

  • Is it important to track/monitor/audit who is accessing specific data
  • Is there an account manager or administrative resource dedicated to the deal or that can be assigned to the deal (Data Traffic Cop concept)
  • Is there a willingness on the part of deal participants to use a Data Room for this deal – requirement is often part of sophisticated deal-terms
  • How many “named” individuals will likely be allowed to access the information
    • > 10
    • > 50
    • > 100
    • > 1000
    • Will scanned document and full-text image Search and Retrieval be an important element of Archive Access
    • Is it important to track/monitor/audit who is accessing specific data
    • Is there a willingness on the part of deal participants to use a Data Room for this deal – requirement is often part of deal-terms.
    • Is there the potential for legal matters to evolve either during or after the deal
    • Is this the type of deal that could result in litigation
    • Are there other legal elements that are critical to this deal
